Last Friday, we went on a journey with three friends treking the Arvdia National Park. I entered the Mutubio Gate in the southwest of the Arvdia National Park and entered the Road in Javini Orcaroo. It takes less than 20 minutes to cross the 27 km from the start at Westlands to the end at Mlolongo. Infuriatingly, it can take more than 20 minutes to clear the highway at the Museum Hill exit because cash users block all the exit lanes, including those for prepaid electronic tag holders. One of the problems is that the highway management decided to put signs in the acronyms to guide users. The lanes have bright and very clear MTC and ETC signs directing drivers to where to pay the toll. One fine afternoon last week, out of boredom and the need for institutional intellectual stimulation, I opened the recently released Tanzania Corporate Governance Regulations for Financial Institutions (2021 edition). This is a regulation published under the Banking and Financial Institutions Act. I pumped my fist in joy! Our friends next to us get it. They get it completely. The regulations define what an independent director is in seven points. The seventh statement clearly states that an independent director “shall not receive remuneration contingent on the performance of the bank or financial institution.” This is because in my last article I wondered if directors should get bonuses. This resulted in a flurry of very interesting emails and social commentary, with some directors asking me why that was a problem. For the umpteenth time, it bears repeating here: The role of board directors is to provide oversight, insight and foresight. The moment board directors start getting paid for the performance of the institution, their role as key champions and key stewards in ensuring sustainable business practices is thrown out the window.

The Governor of the Central Bank of Nigeria, Godwin Emefiele, claims that the Dangote refinery will save over $26 billion in foreign exchange, allowing the country to purchase products with a weaker domestic currency.
